The Corporate Counsel role is a new junior attorney position being created in preparation for the planned separation and will primarily support the Office of the Corporate Secretary at Brighthouse in regards to corporate governance and Board-related matters.  The Corporate Counsel will work closely and directly with the Corporate Secretary, will play a central role in developing Brighthouse’s enterprise-wide corporate governance practices and will have exposure to and interactions with the Board of Directors and the C-Suite executive team. 





  • Assist with the planning, preparation, and distribution of materials for board and committee meetings, including agendas, resolutions, minutes, consents, proxies, etc. 
  • Manage and prepare corporate governance documentation (i.e. certificates of incumbencies, secretary certificates, bylaws, charters, powers of attorney, delegations of authority, etc.).
  • Assist with the logistics aspects of board, committee and shareholder meetings, including developing time and responsibility schedules for all aspects of the meeting, drafting meeting minutes and providing on-site meeting support (and traveling as necessary for off-site board meetings). 
  • Provide support in the development, implementation and monitoring of corporate governance guidelines and subsidiary governance protocols, policies and procedures across the enterprise.
  • Responsible for keeping abreast of developments in corporate governance best practices and shareholder proposal topics and practices.




  • J.D. degree with 2-5 years of relevant experience, preferably at a major law firm. 
  • Strong work ethic and habits, with a demonstrated ability to work efficiently, meet deadlines, and produce work of the highest quality.
  • Highly polished interpersonal skills and ability to professionally interface with C-Suite executives and directors.
  • Excellent organizational skills and keen attention to detail.
  • Decisive, with the ability to work independently and anticipate and prevent potential problems before they arise.
  • Highly collaborative partner with strong interpersonal skills and the ability to work effectively with team members and with individuals at all levels across the enterprise.
  • Experience practicing as a corporate/transactional lawyer is preferred, but not required.
