TIAA seeks an experienced attorney to join our Law Department as a lawyer supporting product development and management for our institutional retirement business. This role will be based in New York, NY or Charlotte, NC and will report to a Managing Director & Associate General Counsel, Institutional Financial Services Law.
The position provides support to the Institutional Financial Services Law team and to the Institutional Products business area. This attorney will join a team responsible for providing legal advice in connection with the design and implementation of fixed and variable annuities, stable value products, funding agreements, investment advisory programs, retiree healthcare and other products and services for defined contribution retirement plans, including 401(a), 401(k), 403(b), and 457 plans. This team is responsible for working on insurance contracts and other filings with state insurance departments, drafting and filing Registration Statements with the Securities and Exchange Commission and working on disclosure documents supporting other products and services; drafting and negotiating agreements in connection with our various products and services; providing legal support for operations, recordkeeping functions, and marketing and sales for the institutional business; and following new laws and regulations, and other regulatory developments.
KEY RESPONSIBILITIES AND DUTIES:
Acting as the primary point of contact for insurance law advice for the Institutional Products business team, including drafting and filing of insurance contracts and other documents with insurance regulators.
Handling complex legal matters, analyzing legal issues, and negotiating agreements and solving intricate problems using sound legal judgment and expertise.
Drafting Registration Statements and other disclosure documents for various retirement products and services.
Preparing Board and internal governance materials.
Working with external and internal sources to advise on all aspects of product design and the launch of new products and services.
Keeping apprised of legal developments affecting client businesses.
Working on or leading projects or cross-functional teams.
JD degree from an ABA accredited law school and member in good standing of state bar is required.
Experience practicing law in a major law firm, a regulator or in-house legal department with a focus on insurance products is required.
In-depth knowledge of insurance regulations impacting annuity and insurance contracts that fund retirement plans and with insurance rules and filing requirements is required.
Federal securities law experience involving the Investment Company Act of 1940 is preferred.
Familiarity with Internal Revenue Code, ERISA and related regulations impacting retirement plans is preferred.
Experience with fixed and variable annuities, funding agreements and other retirement products and services, such as custom portfolios, collective investment trusts, investment advisory services, retiree healthcare and recordkeeping arrangements is a preferred.
