We’ve been consistently recognized by industry analysts, readers’ polls and as a leader in the Gartner Magic Quadrant for managed security services, worldwide. **Role Overview** SecureWorks, an industry leader in the provision of cybersecurity services, is a seeking an attorney with a strong transactional background to join its growing legal team as a Legal Counsel Director in the Atlanta office. The position will report to the General Counsel and Corporate Secretary. The Legal Counsel Director will be responsible for negotiating agreements with Company vendors and clients, managing communications as to such contracts with internal and external clients, and providing legal support to functional organizations within the Company. In addition, the individual also: **Role Responsibilities** -Manages legal issues arising from the Company’s commercial sales operations, including negotiating client transactions for the sale and provision of cybersecurity services and solutions, and drafting and negotiating master services agreements, schedules, statements of work and other documents relating to client transactions. -Assist with the preparation of meeting materials and resolutions for the Board of Directors and Board Committees. -Assist with other various governance matters, including the administration of corporate policies, Board approval policies, Committee charters and Corporate Governance policies and guidelines. -Manages legal issues arising from the Company’s Procurement function, including negotiating transactions with vendors and strategic partners, and drafting and negotiating master relationship agreements, schedules, statements of work and other documents relating to vendor transactions. -Recognizes risk elements in business transactions, and collaborates with Sales, Operations, Finance, Legal, Tax, and Insurance groups to ensure that agreements meet Company policies and protect the Company’s interests. -Assists in developing and implementing intellectual property rights protection strategies. -Provides legal advice and support for strategic partnerships and alliances, including management of the due diligence process, drafting and negotiation of definitive deal agreements, supervising outside counsel, actively managing the deal process, and advising on integration activities. -Remains up-to-date on relevant industry, commercial, IP, cybersecurity and privacy laws and regulations to ensure an ongoing ability to provide excellent legal advice. -Assists with governance and compliance matters. -Manages outside counsel efficiently and associated budgets as needed. -Helps design, implement and administer Legal Department processes. -Handles other Legal matters as assigned. As a managed security provider, SecureWorks expects its employees to understand and apply commonly known security practices and possess a working knowledge of applicable industry controls such as NIST 800-53. Employees will be expected to acknowledge their security responsibilities in writing prior to gaining access to company systems. Employees will be required to maintain a working knowledge of local security policies and execute general controls as assigned. **Requirements** -J.D. degree from an ABA accredited law school with strong academic performance. Active membership in good standing with at least one state bar; State Bar of Georgia is preferred. -5-10 years of relevant experience in law firms and/or in-house legal departments. -Experience in structuring, negotiating, and drafting commercial and technology agreements for procurement and outbound transactions. -Excellent written and oral communication skills. -Demonstrated ability to convey detailed, complex information to senior management and Legal team members in a succinct and cogent manner, and to partner with employees of all levels throughout the organization -Highly motivated individual with superior interpersonal skills and a collaborative and collegial attitude. -Sound and practical business acumen. -Self-starter with demonstrated ability to successfully work independently with little guidance. -Exceptional ability to prioritize and manage multiple projects with poise in an entrepreneurial and fast-paced environment.
