Intel is looking for HR M&A counsel to join its Employment, Labor & Benefits Law group - a highly experienced, cohesive team of attorneys providing risk-optimized and strategic employment, benefits and labor law guidance to Intel and its employees. The ideal candidate is a strong team player with great judgment and the ability to be creative and focus on the big picture without losing sight of the details. The position will be based in Santa Clara, CA and some travel will be required.

Job responsibilities include:

- Providing strategic legal advice on employee-related legal matters in mergers, acquisitions and divestitures, including:
o Advising on employee-related liabilities and risks
o Conducting due diligence
o Drafting and negotiating employment agreements and employee-related provisions in transaction documents
o Advising on domestic and global employee transfers, consultation requirements, executive compensation, equity compensation, and benefit plan issues
o Advising on employee integration issues
- Partnering closely with Intel Capital, M&A Legal, Human Resources, senior leaders , and other internal groups
- Working with and supervising outside counsel
Qualifications:
This position requires:
- J.D. degree
- Licensed to practice in California, or the ability to apply for California's in-house counsel exemption
- 7 years of experience in employment, executive compensation, equity compensation, and/or employee benefits law in the M&A context in a large law firm or in-house
- Experience in international employee matters is a plus
- Excellent legal and business judgment, high standards and impeccable integrity
- Ability to develop strong partnerships across all levels of the organization and gain the trust and confidence of others
- Ability to communicate clearly and translate complex legal issues into layperson's terms
- Ability to think strategically and provide practical advice in the face of ambiguity or uncertainty
- Demonstrated ability to influence decision makers and solve cross-organizational problems in a fast-paced environment while maintaining positive relationships
- Excellent project management, leadership, and partnering skills, including the ability to work with teams to creatively solve problems
- Ability to prioritize, organize, and work under deadlines
- Strong interpersonal skills and a sense of humor
