• Morgan Stanley's Shareholder Activism and Corporate Defense Practice advises public company clients and their boards of directors in the growing area of shareholder activism defense and hostile takeover defense
• In this role, the banker will be part of the M&A Team and will work alongside Shareholder Activism and Corporate Defense Bankers, as well as M&A bankers, on a number of mandates
• The banker will be required to provide advice and assistance to all industry coverage teams and Morgan Stanley clients regarding preparing for and responding to shareholder activists and hostile suitors, and advise on matters relating to corporate governance and shareholder matters, including responding to activist shareholder campaigns, unsolicited takeover bids, proxy contests, consent solicitations, special meeting demands and other contests for corporate control
• The banker will help create presentations and analyses for defense pitches to drive client marketing/targeting efforts and work on live defense mandates/proxy fights

• Superior valuation skills and strong excel / powerpoint skills
• Comfortable reading and interpreting financial statements
• Extraordinarily high level of motivation and commitment to working hard
• Extraordinarily high level of focus on work quality and attention to detail
• Strong written and verbal communication skills
• Commercial instinct and ability to perform under pressure and tight deadlines
• Interest in developing a career in investment banking
• Series licensing or must obtain
• Top education credentials
• Data analysis/programming background is a plus, but not a required skill
• 1-2 years of experience
