The National Mergers and Acquisitions (M and A) group is comprised of subject matter specialists in the areas of Corporate and Partnership Tax M and A. The group advises multinational corporations, privately held companies, and partnerships on the tax aspects of planning, structuring, and executing transactions of all sizes including but not limited to the following:
-analyzes proposed restructuring and acquisition transactions;
-interprets complex statutory and regulatory actions relating to corporate and partnership transactions;
-performs quantitative analysis to assess the tax consequences of specific transactions;
-assist clients with regulatory and legislative initiatives;
- and, prepares for client review submission requests for private letter rulings and technical advice from the IRS.
PwC's Partnership Modeling practice offers a broad range of partnership solutions addressing all stages of partnership operations including: partnership formation; operations including disguised sales and income allocations; partnership recapitalizations and revaluations; current distributions and associated basis adjustments; sales of partnership interests; and debt allocations.
The group coordinates closely with the PwC Mergers and Acquisitions group and focuses primarily on transactional support.
PwC's Partnership Modeling practice also focuses on computations relating to a number of discrete transactions that are common in the market for which modeling is necessary.
These structures are both domestic and international and include internal and third party transactions.Position/Program Requirements
Minimum Years of Experience: 8
Minimum Degree Required: Bachelor's degree in Accounting
Certification(s) Required: CPA or Member of the Bar
Degree(s) Preferred: Juris Doctorate or Master's degree in Accounting or Taxation
Demonstrates proven expertise and success in roles leading consulting engagements involving M&A practices, especially partnership M&A, private equity and post deal integration.
Extensive knowledge and emphases on the following areas:
Partnership taxation, including transactional analytics, allocations and capital accounting.
Tax consulting services, transaction structuring for tax issues, restructuring, strategy formulation, financial modeling and tax planning.
Demonstrates proven expert-level technical skills and success in a role involving the application and interpretation of U.S. federal income tax law as it relates to Subchapter C corporations, Subchapter S corporations, partnerships, consolidated groups, corporate bankruptcies and insolvencies, tax efficient structuring and use of debt, the reorganization provisions of the Internal Revenue Code, technical writing and reviewing of opinion letters and memoranda, as well as tax due diligence exercises.
Demonstrates proven expert-level skills and success in roles identifying and addressing client needs: developing and sustaining deep client relationships using networking, negotiation and persuasion skills to identify and sell potential new service opportunities; preparing and presenting complex written and verbal materials; and defining resource requirements, project workflow, budgets, billing and collection.
Demonstrates proven expert-level skills and success as a team leader: leading teams to generate a vision, establish direction and motivate members, create an atmosphere of trust, leverage diverse views, coach staff, and encourage improvement and innovation.
