The Senior Counsel will directly support a number of senior leaders and provide day-to-day legal support. The successful candidate will routinely interface with the Finance and Customer Agreement teams supporting our US business, and will lead negotiation of contract language with national retail and foodservice customers, colleges/universities and other strategic customers. While the successful candidate will not directly manage other lawyers, he/she will manage paralegals as well as outside counsel, and will work collaboratively with other legal specialists across the Company. The Senior Counsel should expect the majority of his/her work to consist of matters inside the U.S.
Function Related Activities / Key Responsibilities:
•Provide legal and business advice to associates with respect to day-to-day operations of National Foodservice and On-Premise business, with particular emphasis on Strategic Partnership Marketing, and CCNA and CCR Commercial Leadership Functions.
•Deliver legal subject matter expertise in relevant practice area(s).
•Collaborate with outside counsel by communicating objectives, providing strategic direction and providing ongoing information and support in order to meet expectations and achieve Company objectives.
•Review work product of outside counsel to ensure product quality and that the work met expectations.
•Review, edit and comment on agreements drafted by others (e.g., paralegals, business clients, other Company lawyers, counterparties).
Education: Master's Degree or equivalent work experience
Related Work Experience: At least 12 years relevant work experience

Functional Skills:
•Ability to develop and effectively communicate sound legal advice and/or analysis, including determining alternative business solutions and best practices while taking into account client's role, objectives and risk tolerance.
•Ability to determine and understand client objectives and risk tolerance. Includes knowledge of methods and/or techniques used to determine to identify objectives or risk tolerance and ability to incorporate the information in making legal decisions.
•Contract Drafting and Interpretation. Ability to synthesize business terms and incorporate legal protections into a binding agreement. Includes knowledge of proper content of agreements and ability to understand and evaluate terms and contract language proposed by counterparties to determine items that are and are not negotiable.
•Advanced knowledge of contract law. Includes knowledge of and ability to understand basic terms and concepts.
•Ability to devise legal solutions that reduce financial liability, costs and negative publicity to acceptable levels.
•Ability to determine appropriate role of outside counsel, including setting strategic vision and parameters for involvement. Includes ability to determine appropriate staffing and controlling fees, cost and expenses.
•Knowledge of negotiation strategy and tactics. Includes the ability to apply appropriate strategies during negotiations.
